This End-User License Agreement (the "Agreement") governs use of the Mr. Camera HQ software application (the "Software") provided by Mr. Camera, Inc. ("Provider"). By accessing or using the Software, you ("User") agree to be bound by this Agreement.
Provider grants User a limited, non-exclusive, non-transferable, revocable license to use the Software solely for User's authorized internal business operations as an employee, contractor, or principal of Mr. Camera, Inc.. The Software is licensed, not sold, and Provider retains all rights not expressly granted.
User may not, and may not permit any third party to:
The Software, including all source code, design, trademarks, and documentation, is and remains the exclusive property of Provider. No title, ownership, or intellectual-property rights are transferred to User under this Agreement.
The Software integrates with third-party services including Intuit QuickBooks Online, Anthropic, Resend, and Open-Meteo. User's use of those services is governed by their respective terms; Provider is not responsible for the availability, accuracy, or behavior of those third-party services.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Provider does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO USER'S USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH LIABILITY IS ASSERTED.
This Agreement is effective until terminated. Provider may terminate User's access at any time and for any reason. Upon termination, User must immediately cease all use of the Software. Sections 3, 5, 6, and 8 survive termination.
This Agreement is governed by the laws of the State of Nevada, United States of America, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement will be resolved exclusively in the state or federal courts located in Clark County, Nevada.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between User and Provider regarding the Software and supersedes all prior or contemporaneous understandings.
